1. Introduction

These Terms and Conditions apply to the use of this website and to all enquiries, quotations, orders, sales, manufacturing, machining, certification, delivery and related services provided by Protea Foundry.

Protea Foundry is a specialist sacrificial anode foundry based in Salt River, Cape Town, supplying aluminium, zinc, weld-on, bolt-on and custom anodes for marine, offshore, harbour, industrial and related applications.

By using this website, submitting an enquiry, requesting a quotation, placing an order or accepting goods or services from Protea Foundry, you agree to these Terms and Conditions.

3. Website Use

The information on this website is provided for general information purposes only. Protea Foundry makes reasonable efforts to keep product, service and company information accurate and up to date, but does not guarantee that all information will always be complete, current or free from errors.

You may not use this website for unlawful purposes, attempt to gain unauthorised access to the website, copy its content without permission, or interfere with the proper working of the website.

4. Product Information

Protea Foundry manufactures and supplies sacrificial anodes and related cast products, including aluminium anodes, zinc anodes, weld-on anodes, bolt-on anodes and custom anodes.

Product descriptions, images, technical notes, dimensions, weights and specifications on the website are provided as a guide only. Final product details must be confirmed in writing through an official quotation, drawing, purchase order or approved specification.

Due to the nature of foundry work, minor variations in weight, finish, appearance, casting marks, machining marks or dimensions may occur, provided that the product remains within the agreed tolerance or accepted industry standard.

5. Enquiries and Quotations

Customers may request quotations through the website, by email, by phone or through direct communication with Protea Foundry.

A quotation is not an order confirmation unless Protea Foundry has accepted the order in writing. Quotations are valid for the period stated on the quotation. If no validity period is stated, Protea Foundry may revise or withdraw the quotation at any time before order acceptance.

Prices may be affected by material costs, exchange rates, supplier pricing, labour, transport, certification requirements and project-specific specifications. Protea Foundry reserves the right to update pricing where required before an order is accepted.

6. Orders

An order will only be processed once Protea Foundry has received the required written confirmation, approved drawings or specifications, and any required deposit or payment arrangement.

The customer is responsible for ensuring that all information supplied to Protea Foundry is accurate, complete and suitable for the intended application. This includes drawings, dimensions, grades, alloys, quantities, installation requirements, certification needs and delivery details.

Protea Foundry will not be liable for delays, additional costs or incorrect products caused by incomplete, inaccurate or late information supplied by the customer.

7. Custom and Made-to-Order Products

Custom anodes, project-specific castings, machined products and goods manufactured to customer drawings or specifications are made to order.

Once a custom order has been accepted and production has started, the order may not be cancelled, changed or returned unless Protea Foundry agrees in writing. Any changes requested after approval may affect pricing, lead times and delivery dates.

8. Technical Advice and Suitability

Protea Foundry may provide general technical guidance based on the information supplied by the customer. This guidance does not replace the advice of a qualified engineer, naval architect, corrosion specialist or project consultant.

The customer remains responsible for confirming that the selected product is suitable for the vessel, structure, installation environment, water conditions, exposure level and protection requirements.

Protea Foundry does not guarantee corrosion protection performance where products are incorrectly specified, incorrectly installed, used outside their intended application, exposed to unsuitable operating conditions, or used without proper inspection and maintenance.

9. Certification and Quality Documentation

Where certification, inspection reports, material certificates, traceability documents or compliance documents are required, this must be stated before the order is accepted.

Certification and quality documents will only be supplied where agreed in writing. Additional costs may apply. Certificates relate only to the goods supplied and the stated production or testing information available to Protea Foundry.

10. Pricing and Payment

All prices are quoted in South African Rand unless otherwise stated. Prices exclude VAT, delivery, packaging, insurance, certification, special testing and other additional costs unless these are clearly included in the quotation.

Payment terms will be stated on the quotation, invoice or account agreement. Protea Foundry may require full payment, a deposit or approved account terms before production, collection or delivery.

Protea Foundry may withhold production, delivery, certification documents or release of goods until payment terms have been met.

11. Lead Times

Lead times are estimates only and may depend on material availability, production capacity, casting schedules, machining requirements, approval delays, certification requirements, third-party suppliers and transport arrangements.

Protea Foundry will make reasonable efforts to meet agreed timeframes, but will not be liable for losses caused by delays outside its reasonable control.

12. Delivery, Collection and Risk

Delivery or collection terms must be confirmed in writing. Where Protea Foundry arranges delivery, transport costs and delivery conditions will be confirmed with the customer.

Risk in the goods passes to the customer on collection, handover to the courier, handover to the transport provider, or delivery to the agreed address, depending on the agreed delivery arrangement.

The customer must inspect goods upon receipt and notify Protea Foundry in writing of any visible damage, shortage or delivery issue within a reasonable time.

13. Returns and Defects

Products may only be returned with prior written approval from Protea Foundry.

Standard products may be considered for return if they are unused, undamaged, in their original condition and returned within the agreed return period. Handling, transport or restocking fees may apply.

Custom-made, machined, modified or project-specific products cannot be returned unless they are proven to be defective due to Protea Foundry’s workmanship or supplied material.

Where a valid defect is confirmed, Protea Foundry may choose to repair, replace or credit the defective goods, subject to applicable law.

14. Warranty

Protea Foundry warrants that its products will be manufactured in line with the agreed specification, quotation, approved drawing or accepted industry standard.

This warranty does not apply to defects, damage or failure caused by incorrect handling, storage, installation, use, maintenance, specification, modification, environmental exposure, normal wear, third-party work or use outside the intended application.

No additional warranty is provided unless confirmed in writing.

15. Limitation of Liability

To the fullest extent permitted by law, Protea Foundry will not be liable for indirect loss, consequential loss, loss of profit, loss of production, vessel downtime, project delays, loss of contracts, loss of data, third-party claims or any loss caused by incorrect specification, installation or use of the goods.

Protea Foundry’s liability for any proven claim will be limited to the repair, replacement or value of the goods supplied under the relevant order, unless a different remedy is required by applicable law.

Nothing in these Terms and Conditions is intended to exclude any right or remedy that may not legally be excluded under South African law, including rights that may apply under the Consumer Protection Act where applicable. The National Consumer Commission is the South African body established under the Consumer Protection Act to protect consumer interests.

16. Customer-Supplied Drawings, Designs and Information

Where the customer supplies drawings, designs, samples, specifications or technical information, the customer confirms that they have the right to use and share that information with Protea Foundry.

The customer indemnifies Protea Foundry against any claim arising from the use of customer-supplied drawings, designs, intellectual property or instructions.

17. Intellectual Property

All website content, wording, images, layouts, drawings, designs, documents, branding and technical material owned or created by Protea Foundry remain the property of Protea Foundry unless otherwise agreed in writing.

Customers may not copy, reproduce, distribute, publish or use Protea Foundry’s content, drawings, documents or branding without written permission.

18. Privacy and Personal Information

Protea Foundry may collect and process personal information submitted through enquiries, quotation requests, orders, email communication and customer account interactions.

Personal information will be handled in line with applicable South African privacy laws, including the Protection of Personal Information Act. The Information Regulator notes that POPIA sets conditions for the lawful processing of personal information by public and private bodies.

19. Electronic Communication

By contacting Protea Foundry through the website, email or other electronic channels, you agree that Protea Foundry may communicate with you electronically regarding enquiries, quotations, orders, invoices, delivery, documentation and related matters.

South Africa’s Electronic Communications and Transactions Act provides for the facilitation and regulation of electronic communications and transactions.

20. Force Majeure

Protea Foundry will not be liable for failure or delay caused by events outside its reasonable control. This may include material shortages, supplier delays, transport delays, power interruptions, strikes, labour issues, equipment failure, natural disasters, fire, flooding, civil unrest, government restrictions or other unexpected events.

21. Governing Law

These Terms and Conditions are governed by the laws of the Republic of South Africa.

Any dispute will first be addressed through direct communication between the parties. If the matter cannot be resolved, it may be referred to the appropriate court, tribunal or dispute resolution body with jurisdiction in South Africa.

22. Changes to These Terms

Protea Foundry may update these Terms and Conditions from time to time. The updated version will apply from the date it is published on the website, unless stated otherwise.

Continued use of the website, or continued engagement with Protea Foundry after changes are published, will be treated as acceptance of the updated Terms and Conditions.
